LETTER OF INTENT

意书二零零七年___月____日列双方签订:
(1) 烟台福山天府房产开发限公司家根中华民国(中国)法律正式成立效存续限责公司法定址中国 省 市 (业)

(2) 沃尔玛深国投百货限公司家中国法律正式成立效存续限责公司法定址中国广东省深圳市罗湖区洪湖路湖景花园三层(沃尔玛)

(业沃尔玛合称时双方)

鉴:
(a) 沃尔玛欲承租业位中国___山东省烟台市福山区天府街北电新路东__富豪青年国际广场厦[号:__](厦)______)层层部分面积房屋 (房屋)
(b) 业欲房屋出租沃尔玛
(c) 沃尔玛业愿意书列明条款条件寻求双方达成关房屋租赁协议性


THIS LETTER OF INTENT is made on ________ 20076 by and between

1) Co Ltd a limited liability company established and existing under the laws of the People’s Republic of China (China) with its legal address at City Province China (hereinafter referred to as the LANDLORD) and

2) WalMart SZITIC Stores Co Ltd a limited liability company established and existing under the laws of China with its legal address at F1~3 Lakeview Garden Honghu Road Luohu District Shenzhen Municipality Guangdong Province China (hereinafter referred to as WALMART)

(LANDLORD and WALMART shall be collectively referred to as Parties)


WHEREAS
a) WALMART wishes to lease from LANDLORD a portion of the area on_______(the Premises) of the Building [LotNo_] (the Building) located at __ City__ Province China
b) LANDLORD seeks to lease to WALMART the Premises
c) WALMART and LANDLORD seek to explore the possibility of entering into a lease agreement for the Premises pursuant to the terms and conditions specified herein

Both Parties hereby reach the intent as below and based on such intent shall further negotiate and discuss with regard to the lease of the Premises with a view to concluding a formal Premises Lease Agreement

(1) 租赁协议
双方欲列条款条件基础进行关房屋租赁协议谈判(租赁协议)

(a) 租面积
房屋沃尔玛租面积约__方米(_m2)(租面积)中___层租面积__方米(_m2)___层租面积____方米(_m2)_层租面积__方米(__m2)房屋租金应根租面积计算租面积面图参见附件房屋总面图层面图


(b) 免租施工期
业意进场日(意书第(1)条(e)款定义)起房屋沃尔玛购物广场开业日前日止期间业授予沃尔玛免租施工期(免租施工期)免租施工期

Unless otherwise provided in this Letter of Intent this Letter of Intent sets forth only the preliminary views of both Parties towards the terms and conditions of the proposed Premises Lease Agreement and is legally nonbinding The terms and conditions outlined in this Letter of Intent and any definitive documents shall be subject to the review and final approval of the Real Estate Committee of WalMart Stores Incorporation (home office of WALMART)


(1) Lease Agreement
The Parties propose to proceed with negotiation of a Lease Agreement for the Premises based on the following terms and conditions (the Lease Agreement)


(a) Leased Area
The overall area leased by WALMART within the Premises is about __square meters (_m2) (Leased Area) with __square meters (___m2) on the __ ___ square meters (__m2) on the __ ____square meters (___m2) on the _ The Leased Area shall be the basis for computing the Rent for the Premises The plan of the Leased Area is referred to Exhibit I Site Plan and Floor Plan


(b) Rentfree Construction Period
LANDLORD agrees to grant WALMART a Rentfree Construction Period from the Starting Date of Construction (defined in Section (1) Subsection (e) of this Letter of Intent) to the date before the Grand Opening Day of WalMART’s supercenter within the Premises (the Rentfree Construction Period) During the RentFree Construction Period WALMART including WALMART’s subsidiaries suppliers contractors or subcontractors will not be obligated to pay any Rent andor any management fee andor any taxation andor fee owed to LANDLORD

(c) 租 期
初始租期十五(15)年免租施工期届满次日开始计算沃尔玛单方面酌情行续约权五(5)次次续约期长期限五(5)年


(d) 租 金
房屋租金已包括租金理费(备注:理费租面积月方米民币_元[RMB__月m2])空调系统设施费中国法律应业承担房屋涉费支出

沃尔玛租面积水费(包括空调水)电费(包括空调电)燃气费暖气费沃尔玛实际量单独计量沃尔玛行相关公设施服务部门缴纳

租约年系指连续十二(12)月租赁期间免租施工期届满次日第(1)租约年租期开始日

初始租期房屋租金标准计算:

as the owner of the Leasehold Property in accordance with the relevant PRC laws regulations

(c) Term
The Initial Lease Term shall be Fifteen (15) years beginning on next day following end of Rentfree Construction Period WALMART shall be granted the option exercisable at its sole discretion to renew the lease term for Five (5) consecutive periods of up to Five (5) years each


(d) Rent
The Rent for the Premises includes rental management fees (Note management fee for the Leased Area shall be RMB __ Yuan per square meter per month [RMB_month m2]) charges for use of airconditioning system and other utilities and any other costs and expenses related to the Premises that shall be borne by the LANDLORD under the laws of China

Charges for water (including water for AC) electricity (including electricity for AC) gas and heat consumed by WALMART within the Leased Area shall be separately calculated and directly paid to relevant utility service suppliers by WALMART upon its actual consumption

A Lease Year shall mean a consecutive Twelve (12)month lease period The day following the end of Rentfree Construction Period shall be the date of commencement for Lease Year One and the Lease Term

The Rent for the Premises during the Initial Lease Term shall be calculated as follows

Lease Year __through Lease Year _ RMB _Yuan per square meter per month (RMB_m2month)

(e) 进场日
符合列条件前提沃尔玛进场施工日期进场日(进场日):(i) 市城市商业规划已获中国商务部批准(ii)沃尔玛房屋开设沃尔玛购物广场符合前述中国商务部批准 市城市商业规划(iii) 市商务部门举行关沃尔玛房屋开设沃尔玛购物广场听证已完成听证结果意沃尔玛房屋开设沃尔玛购物广场(适)(iv) 业已完成租赁协议附件中约定沃尔玛进场施工条件(v) 沃尔玛根租赁协议附件沃尔玛进场施工条件验收合格


Lease Year through Lease Year RMB __Yuan per square meter per month (RMB_m2 month)

From Lease Year the Rent in the Initial Lease Term shall increase _ percent () of every () year on the basis of the Rent for the preceding Lease Year

In the event that WALMART decides to renew the Lease Agreement upon expiration of the Initial Lease Term from Lease Year () the Rent in the Extension Period shall increase percent () every _ () year on the basis of the Rent for the preceding Lease Year


(e) Starting Date of Construction
The Starting Date of Construction is the date on which the following conditions are satisfied and WALMART may enter the Premises for construction (the Starting Date of Construction) (i) the city commercial planning of City has been approved by the Ministry of Commerce of China (the MOC) (ii) WALMART’s opening of Supercenter within the Premises is in conformity with the aforesaid city commercial planning of City approved by MOC (iii) WALMART is granted to open its Supercenter within the Premises (if applicable) during a completed hearing process which is held by the commercial authority of City for examining WALMART’s opening its Supercenter within the Premise (iv) the conditions before WALMART’s starting construction set forth in Exhibit of the Lease Agreement are satisfied by LANDLORD and (v) WALMART has inspected and accepted the conditions before WALMART’s starting construction according to Exhibit of the Lease Agreement


(f) Parking Area
LANDLORD shall provide a minimum of ( ) free car parking spaces ( ) free motorcycle parking spaces and ( ) free bicycle parking spaces

业意书面通知业沃尔玛权时部分全部房屋分租转租第三方分租户受转租遵守租赁协议约定前提房屋合法营途


(h) 机密情报
沃尔玛需业提供关销售方面机密情报关资产方面信息


(i) 竞争信息
业承诺房屋厦沃尔玛购物广场

for WALMART (collectively as the Parking Lot) in the place as specified in Exhibit I During the Term WALMART WALMART’s employees and WALMART’s suppliers shall not be levied any fee by the LANDLORD for using of the Parking Area WALMART’s customers shall not be charged for any fee for using the motorcycle and bicycle parking spaces within the Parking Lot furthermore WALMART’s customers shall have the right to park car for One Hundred and Twenty (120) minutes free of charge during business hour of WALMART’s supercenter If the parking time surpasses One Hundred and Twenty (120) minutes or the customer can not present valid shopping receipt LANDLORD shall have the right to charge the customers according to the standard approved by office price stabilization in ______ City


(g) Subleasing or Assigning
LANDLORD agrees that upon written notification to LANDLORD WALMART has the absolute right to sublease or assign any part or up to 100 of the Premises to any third party The sublessee or assignee can use the Premises for lawful purpose on the precondition of complying with the Lease Agreement


(h) Confidential Information
There is no requirement for WALMART to provide sales information or other confidential and proprietary information to the LANDLORD


(i) Competition Information
LANDLORD shall warrant that there shall be no other stores being identical or similar in the format to WalMart supercenter Sam’s club or WalMart neighborhood market nor business operators being directly or indirectly in competition with the business of WALMART within the Premises and Building

(j) 终止权

双方意意书第(1)条(c)款述租期沃尔玛根业日签订房屋租赁协议条件条款履行支付租金义务条件沃尔玛没义务房屋持续断运营沃尔玛购物广场


(l) 业负责工程项目
沃尔玛购物广场设计建筑应遵循沃尔玛业提供附件二中定义规格求附件二规格求明确规定双方关厦建设工程中职责


(m) 沃尔玛进场装修条件



(j) Right to Terminate
From Lease Year __ WALMART shall have the right to terminate the Lease Agreement without any liabilities for any reason(s) upon giving __ () months prior written notice to the LANDLORD

In the event that WALMART and or its joint venture partner fails to obtain the business license for its operation within the Premises from the Industrial and Commercial Bureau of ____ City within Ten (10) months from the date of execution of the Lease Agreement WALMART shall have the right to terminate the Lease Agreement immediately without any liability upon giving a written notice to the LANDLORD


(k) No obligation to continuously operate WALMART supercenter
The Parties agree that during the Term set forth in Section (1) Subsection (c) under this Letter of Intention so long as WALMART pays its Rent in accordance with the terms and conditions of the Lease Agreement executed by the Parties in the future WALMART shall not have the obligation to continuously operate WALMART supercenter in the Premises


(l) Works by LANDLORD
The Design and Construction of WALMART’s supercenter shall follow the Requirements and Specifications as defined in Exhibit II provided to the LANDLORD by WALMART The Requirements and Specifications in Exhibit II will clearly specify the responsibilities of both Parties for the construction of the Building

(2) 条 件
意书第(1)条定条款完成必须具备条件:(i)业需意书签署日前提供业房屋涉土权房屋涉作商业途国土证(ii)业提供权出租房屋楼改进措施证明(iii)双方已签署效完成交易全部必文件(iv)沃尔玛百货限公司房产委员会已审核批准项交易(v)行政规章规定政府许


(3) 条款条件
意书中列明仅项交易条款条件未全部租赁协议条款租赁协议会条款条件做更详细规定余租赁协议条款条件双方进步协商决定


(4) 保 密
意书效期间意书期满终止五(5)年非中国政府部门辖权法院求否沃尔玛业情况均未方事先书面意双方房屋租赁项目关直接间接获方保密信息

(m) Handover Status
The LANDLORD shall complete all the work set forth in Exhibit III as suitable for WALMART to conduct renovation on or before the Handover Day of the Premises set in the Lease Agreement


(2) Conditions
The closing of any contemplated transaction in Section (1) under this Letter of Intent will be contingent upon (i) LANDLORD providing the Certificate for Stateowned Land Use Right for WALMART’s intended commercial use and LANDLORD is the land use right holder for the land occupied by the Premises on or before the execution date of this Letter of Intent (ii) LANDLORD providing evidence of its legal right to lease the Premises Land and improvements (iii) execution by both Parties of all necessary documents to effectively close the transaction (iv) review and approval of the proposed transaction by the Real Estate Committee of WalMart Stores Inc and (v) any other regulatory or other governmental approvals


(3) Other Terms and Conditions
The above terms and conditions of this Letter of Intent are the major terms and conditions of this transaction and are not exhaustive Terms and conditions will be set forth in greater detail in the Lease Agreement The remaining terms and conditions of the Lease Agreement shall be determined through further discussions between the Parties


(4) Confidentiality
Except pursuant to an order of a governmental agency or a court in both cases of competent jurisdiction during the term of this Letter of Intent and for a period of Five (5) years following the termination or expiration of this Letter of Intent WALMART and LANDLORD shall under no circumstances disclose or divulge to any third party without the prior written consent of the other party any Confidential Information (as defined below) of the other party hereto obtained directly or indirectly from the other party in connection with this premises lease project and neither party shall use any such Confidential Information without the prior written consent of the other party for purposes other than for the purposes of this premises lease project provided however that the Parties shall have the right to disclose any Confidential Information to their respective employees officers directors agents andor advisors who need to know such Confidential Information for performance of their work and duties that the Parties shall also have the right to disclose such information in connection with legal proceedings relating to this Agreement or if required in the opinion of counsel to be disclosed pursuant to the law and that WALMART shall

have the right to disclose any and all Confidential Information to any of its affiliates and their employees officers directors agents andor advisors regardless of their locality

Confidential Information shall refer to all information relating to the business business plan business strategy sales operation and business relationship of the disclosing party andor the disclosing party's properties methods of operation andor existing or proposed products whether or not created by the disclosing party disclosed directly or indirectly by the disclosing party to the other party in connection with this premises lease project provided however Confidential Information shall not include information as follows (i) which is already known to the recipient party at the time of its disclosure to the recipient party (ii) which is already available to the public at the time of its disclosure to the recipient party (iii) which becomes available to the public without the fault of the recipient party after its disclosure to the recipient party or (

情况非沃尔玛次书面授权业沃尔玛百货限公司(沃尔玛百货)沃尔玛关联公司包括限沃尔玛商标品牌名称标志设计业沃尔玛双方意情况沃尔玛授予业沃尔玛百货商标品牌名称标志设计次书面授权均应视授予业独占转权限沃尔玛少次书面授权授权容沃尔玛百货商标品牌名称标志设计书面授权均着意书期终止时动强行终止


(6) 法律效力
意书方理解意意书容仅反映双方初步意见终协议基租赁协议签订述列明切条件实现意书项第(4)(5)(7)条外意书容意方构成具法律约束力义务


(7) 排性

iv) which is obtained by the recipient party from a third party who is under no confidentiality obligation regarding the information it discloses to the recipient party The Parties agree that information relating to this premises lease project belongs to the scope of Confidential Information


(5) Trade Mark of WALMART
LANDLORD can not use the trademark brand name logo and design of either WalMart Stores Inc (WalMart Stores) or any and all affiliates of WalMart Stores including but not limited to WALMART without the prior written consent of WALMART in each case Both Parties agree that any written consent granted by WALMART for LANDLORD’s use of such trademark brand name logo and design in each case hereunder shall be a nonexclusive and nontransferable sublicense granted by WALMART to LANDLORD Regardless of how any and all written consents of WALMART are written the expiration or termination of this Letter of Intent shall automatically and simultaneously terminate all uses by LANDLORD of such trademark brand name logo and design


(6) Legal Effect
Each of the Parties hereto understands and agrees that the contents of this Letter of Intent is only intended to reflect the Parties' preliminary views and final agreement is subject to the execution of the Lease Agreement and the completion of all conditions outlined above Nothing contained in this Letter of Intent is intended to create any legally binding obligation upon either Party except Section (4) (5) (6) and (7) under this Letter of Intent


(7) Exclusivity

意书双方签署日起生效效期___年___月___日

双方正式授权代表二零零__年__月__日签订意书中英文文两种文具等效力两种文意书解释出现致时中文文准

The LANDLORD will not enter into any discussions negotiations or agreements related to the Premises with any other parties during the effective period of this Letter of Intent


(8) Term
This Letter of Intent is effective till _______________from the date this document is signed by the authorized representatives of both Parties

This Letter of Intent is hereby executed on _________ 200__ in English and Chinese by the duly authorized representatives of the Parties Both versions shall be equally valid In the event of any inconsistency between interpretations of this Letter of Intent under the two versions the Chinese version shall prevail

This Letter of Intent is made in Two (2) authentic originals and one for the LANDLORD the other for WALMART
